Distributor Guide

Below is the English version of the rules and guidelines for becoming an authorized distributor of the Dr. Morgan brand by Morgan Natural Health Products Inc. (hereafter referred to as “the Company”). These rules are designed to ensure that distributors operate fairly, compliantly, and responsibly within Canada’s legal and regulatory framework governing natural health products.

1. Scope of Application

These guidelines apply to any individual or entity wishing to become an authorized distributor of the Dr. Morgan brand within Canada. Distributors must strictly comply with all Canadian federal, provincial, and local laws and regulations, including but not limited to the Food and Drugs Act, the Natural Health Products Regulations, and relevant quality and advertising standards.

2. Basic Eligibility Requirements

1. Physical Retail Location:
• Applicants should maintain a legally registered and operational brick-and-mortar retail store specializing in health products (e.g., health food stores, nutritional supplement shops, pharmacies), providing on-site consultation and product sales.

2. Professional Practitioner Qualifications:

• Applicants may be qualified health professionals holding recognized professional credentials, including but not limited to: Registered Dietitians, Naturopathic Doctors, Pharmacists, Physicians, or other certified health practitioners.
• Applicants must present a valid professional license number or equivalent documentation to verify their credentials.

3. Application Documentation
1. Company or Professional Profile:

  • For company applicants: Provide company registration details (registration number, business address, operating license), store name, years in operation, product lines, and business scope.
  • For individual professional applicants: Provide a copy of valid professional certification, a professional background summary (including years of practice and areas of expertise), and details about the existing client base or affiliated institution (e.g., clinic name and address).

2. Contact and Basic Information:

  • Supply the primary contact’s name, phone number (landline or mobile), email address, and the full physical address of the operating location (if applicable).
  • Include a brief overview of existing sales channels or client groups (e.g., current patients, membership programs, or customer base).

3. Compliance and Privacy Assurance:

  • Applicants must pledge to comply with all Canadian laws and regulations related to the sale of natural health products, as well as adhere to ethical standards.
  • Applicants must sign a confidentiality and privacy agreement regarding any business information, product details, and client data provided by the Company.

4. Review and Approval Process

1. Initial Review:

  • Upon receiving the application and required documentation, the Company will conduct a preliminary verification and assessment of the applicant’s qualifications, including the legitimacy of their retail operation or the validity of their professional credentials.

2. Compliance and Background Checks:

  • The Company will ensure that applicants have no major regulatory violations, pending lawsuits, or compliance issues under Canadian law.

3. Negotiation of Terms and Agreement:

  • Once the initial review is successful, the Company will discuss specific distribution terms with the applicant, including procurement policies, pricing structures, brand promotion requirements, training support, return and exchange policies, after-sales service, and market development plans. A formal distribution agreement will be drafted accordingly.

4. Official Authorization:

  • After the applicant signs and agrees to abide by the distribution agreement, they will receive official authorization to legally promote and sell the Dr. Morgan line of natural health products under the Company’s brand.


5. Distributor Responsibilities and Ongoing Compliance

1. Brand Maintenance:

  • Distributors must uphold the Dr. Morgan brand image, refraining from exaggerated or misleading claims about product efficacy, and must comply with Canadian advertising and promotional regulations.

2. Product Safety and Quality:

  • Distributors must ensure that all products sold are sourced through the Company’s authorized channels and remain unaltered, unexpired, and compliant with Canadian health regulations.

3. Sales Records and Traceability:

  • Distributors may be required to regularly submit sales data and market feedback to the Company to ensure traceability, quality control, and ongoing compliance.

4. Continuous Training and Professional Development:

  • Distributors will have opportunities to receive product training, market updates, and compliance guidance from the Company to enhance professional knowledge and service quality.


6. Termination and Liability

1. Grounds for Termination:

  • The Company reserves the right to terminate the authorization if a distributor violates legal requirements, acts contrary to the Company’s core values, or fails to fulfill agreed-upon terms.

2. Liability:

  • If any misconduct by the distributor leads to legal liability, financial losses, or harm to consumer interests, the distributor is solely responsible and must compensate the Company for any resulting damages.


7. Interpretation and Applicable Law

1. Right of Interpretation:

  • The Company reserves the right of final interpretation of these guidelines.

2. Governing Law:

  • These guidelines are governed by and shall be interpreted in accordance with the applicable laws and regulations of Canada.


By adhering to these rules, potential distributors can ensure a transparent, compliant, and mutually beneficial partnership with the Company. Through cooperation and ongoing compliance, distributors and the Company jointly provide consumers with safe, high-quality Dr. Morgan brand natural health products and professional guidance.
